Location Transfer Terms

1. Transfer of Rights

Upon completion of the transfer, HU Vending will assign and transfer its rights to the selected location to the Buyer, introduce the Buyer to the location representative when applicable, and relinquish any future claim to revenue, commissions, or control over the location.

The Buyer understands that HU Vending will have no further obligations concerning the location after the transfer is complete, except for obligations specifically stated in the final Transfer Agreement. HU Vending will provide a recommended product list during the following week. The Buyer may adjust product selections after assuming responsibility for the location.

2. Relationship of the Parties

HU Vending is acting solely as a location locator and transfer agent. Nothing in the purchase or Transfer Agreement creates a partnership, joint venture, employment relationship, franchise, or ongoing business relationship between HU Vending and the Buyer.

3. Location Approval and Onboarding

HU Vending confirms that the location identified in the final Transfer Agreement has approved, or has agreed to approve, the Buyer as the incoming vending service provider, subject to the location’s standard onboarding and installation procedures.

Final onboarding, scheduling, access, equipment approval, and installation remain subject to the location’s procedures and cooperation.

4. Installation Contingency and Refund

If vending equipment installation cannot occur because of circumstances outside the Buyer’s control—including location withdrawal, loss of site approval, or the location’s refusal to proceed—payments made toward the transfer of that location will be refunded in full, subject to the terms of the final Transfer Agreement.

5. Introduction and Communication

After payment is verified and the required documents are completed, HU Vending will coordinate an introduction involving the Buyer, HU Vending, and location management. The Buyer agrees to communicate professionally with location management.

Management’s private contact information will be provided only with the complete Transfer Agreement or during the coordinated introduction process.

6. Equipment and Operating Responsibility

The purchase covers the transfer of vending-location placement rights. A vending machine, inventory, installation, permits, insurance, maintenance, stocking, and ongoing operation are not included unless the final Transfer Agreement expressly states otherwise. The Buyer is responsible for operating and servicing the location after the transfer is completed.
